This shift is a step in the right direction as board directors typically hold the primary responsibility for guiding company strategy and overseeing management.<\/p><\/blockquote>\n<p>SHARE\u2019s new <a href=\"\/2022proxy\">2022 Proxy Voting Guidelines<\/a> sharpens its focus on how considerations related to climate change, mine safety, and diversity should be brought to bear on the election of corporate boards. The Guidelines strengthen director accountability for ensuring adequate Board gender and racial diversity, keeping communities safe from tailings dam failures, and charting a clear business strategy aligned with maintaining global warming below 2 degrees C. Companies without a climate business strategy represent failures in corporate governance. The most effective tool we have seen for assessing management\u2019s willingness and ability to change is the <a href=\"https:\/\/transitionpathwayinitiative.org\/\">Transition Pathway Initiative<\/a> (TPI), which rates more than 500 companies on a five-level benchmark. SHARE&#8217;s new 2022 Proxy Voting Guidelines will use the TPI Benchmarks to assess companies and recommend voting against board chairs where companies are seriously underperforming.<\/p>\n<p><strong>Diversity<\/strong><\/p>\n<p>Years of investor initiative to increase women\u2019s representation on corporate boards is showing results. By the end of 2020, the percentage of women-identifying directors at TSX non-venture issuers reached 22%, edging closer to the critical threshold set by the 30% Club. However, there has been substantially less progress on racial diversity on corporate boards, even after changes to the Canada Business Corporations Act required disclosures related to women, Indigenous people, persons with disabilities and members of visible minorities. SHARE is now recommending withholding support for re-election of all members of board-nominating committees when one gender represents less than 30% of directors, or if disclosure on board diversity is inadequate. In addition, at Canadian and US issuers, a vote will be cast against the chair of the nominating committee when the board does not include at least one director with a diverse racial or ethnic origin.<\/p>\n<p><strong>Mine Tailings Dam Safety<\/strong><\/p>\n<p>Thanks to the leadership of the Church of England Pension Board, the Swedish Ethics Council, and a 100-investor coalition, a new rigorous international standard for mine tailings safety is gaining widespread support. But, 183 important companies have still refused to sign up. In line with a recent announcement by the Church of England Pension Board, SHARE is recommending voting against the chair of the board at relevant companies that fail to confirm their intention to meet the Global Industry Standard of Tailings Management.
