Last year, <\/span><\/span><a class=\"Hyperlink SCXW2737034 BCX0\" href=\"https:\/\/www.morningstar.com\/articles\/1052234\/the-2021-proxy-voting-season-in-7-charts\" target=\"_blank\" rel=\"noreferrer noopener\"><span class=\"FieldRange SCXW2737034 BCX0\"><span class=\"TextRun Underlined SCXW2737034 BCX0\" lang=\"EN-CA\" xml:lang=\"EN-CA\" data-contrast=\"none\"><span class=\"NormalTextRun SCXW2737034 BCX0\" data-ccp-charstyle=\"Hyperlink\">Morningstar<\/span><\/span><\/span><\/a><span class=\"TextRun SCXW2737034 BCX0\" lang=\"EN-CA\" xml:lang=\"EN-CA\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW2737034 BCX0\" data-ccp-parastyle=\"Normal (Web)\"> reported that average support for shareholder resolutions rose to a record 34% in the 2020\/2021 season, indicating a positive trend. This year, investors are facing even more scrutiny on proxy voting, with U.S.-based investor research organization <\/span><\/span><a class=\"Hyperlink SCXW2737034 BCX0\" href=\"https:\/\/www.asyousow.org\/press-releases\/2022\/3\/17\/proxy-preview-2022-record-breaking-shareholder-resolutions-filed\" target=\"_blank\" rel=\"noreferrer noopener\"><span class=\"FieldRange SCXW2737034 BCX0\"><span class=\"TextRun Underlined SCXW2737034 BCX0\" lang=\"EN-CA\" xml:lang=\"EN-CA\" data-contrast=\"none\"><span class=\"NormalTextRun SCXW2737034 BCX0\" data-ccp-charstyle=\"Hyperlink\">As You Sow<\/span><\/span><\/span><\/a><span class=\"TextRun SCXW2737034 BCX0\" lang=\"EN-CA\" xml:lang=\"EN-CA\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW2737034 BCX0\" data-ccp-parastyle=\"Normal (Web)\"> reporting a 20% increase in ESG resolutions appearing on proxy ballots, with over 300 resolutions filed.<\/span><\/span><span class=\"EOP SCXW2737034 BCX0\" data-ccp-props=\"{&quot;134233117&quot;:true,&quot;134233118&quot;:true,&quot;201341983&quot;:0,&quot;335559740&quot;:240}\">\u00a0<\/span><\/p>\n<blockquote><p><span class=\"TextRun SCXW34814116 BCX0\" lang=\"EN-CA\" xml:lang=\"EN-CA\" data-contrast=\"auto\"><span class=\"NormalTextRun SCXW34814116 BCX0\" data-ccp-parastyle=\"Normal (Web)\">As the 2022 proxy season unfolds, the Canadian Capital Stewardship Network (CCSN) is conducting a baseline analysis of proxy voting transparency from Canada\u2019s five largest institutional asset managers and five largest pension fund managers. In addition, the analysis investigates their support for decent work, racial equity and worker rights issues on proxy ballots from 2021. The CCSN analyzed voting at 10 companies either headquartered in Canada (e.g., Dollarama, Loblaw) or with a significant employment footprint in Canada (e.g., Amazon, McDonalds). It also indicates that Canadian pension funds are increasingly sensitive to social issues, as evidenced by their voting rationale in support of key resolutions. This practice is gaining adherents among Canada\u2019s largest pension funds, but it is still rare amongst large Canadian asset managers. By disclosing voting rationales on management and shareholder resolutions, investors enable the wider public to track how they are implementing their ESG commitments \u2013 or how they \u201cwalk the talk.\u201d Disclosing voting rationales also enables companies to review and understand why an investor positions itself against management on social issues. Only two out of the 10 institutional investors in the analysis have published their voting rationales for all resolutions: BCI and CDPQ. The results revealed that Canadian investors are responsive to key workforce and social issues. Asset managers and pension fund managers showed support for shareholder resolutions on Indigenous reconciliation, racial equity, human capital disclosure and human rights due diligence. Furthermore, they showed some willingness to hold directors to account on workforce issues.
