Sept. 5, 2025. At the annual general meeting (AGM) for Alimentation Couche-Tard Inc. (TSX:ADT) this week, investors in the Quebec-based fuel and retail giant strongly backed a shareholder proposal calling on the Company to disclose a clear and comprehensive emissions-reduction strategy.<\/p>\n<p>The <a href=\"https:\/\/myupp.ca\/alimentation-couche-tard-urged-to-disclose-a-clear-competitive-emissions-reduction-strategy\/\">proposal was filed by University Pension Plan (UPP)<\/a> with support from <a href=\"https:\/\/share.ca\">SHARE<\/a>, the Shareholder Association for Research and Education, UPP\u2019s longstanding partner for engagement with companies in its portfolio. It received the highest investor support for a climate-related proposal at the company in the last seven years at 17.08 per cent (22.13 per cent support from independent shareholders).<\/p>\n<p>The filing followed extensive engagement with Couche-Tard on climate risks and disclosures. The proposal urges the company to disclose mid-term targets covering material Scope 1 and 2 greenhouse gas (GHG) emissions \u2014 defined as emissions the company directly controls, or that result from its energy consumption. In addition, the proposal asks Couche-Tard to articulate an approach to Scope 3 emissions, which come from its upstream and downstream value chain.<\/p>\n<p>Speaking in support of the proposal at Wednesday\u2019s AGM, <strong>Delaney Greig<\/strong>, Director of Investor Stewardship at UPP, said the Company has made progress.<\/p>\n<blockquote><p>\u201cTo remain competitive, attract international capital and address the transition risks impacting its business, particularly as a fuel retailer, Couche-Tard needs a coherent transition strategy that includes emissions targets aligned with internationally recognized methodologies.\u201d<\/p><\/blockquote>\n<p>Many of Couche-Tard\u2019s self-identified peers, including Empire, Metro and Costco, have already put in place such strategies and targets.<\/p>\n<p><strong>Sarah Couturier-Tanoh<\/strong>, SHARE\u2019s Director of Shareholder Advocacy, added that, while the company has measured its Scope 3 emissions for two years now, it has failed to disclose a strategy for reducing them. In fact, Couche-Tard&#8217;s own disclosures indicate these emissions are on the rise, partly due to its investment in fuel sales.<\/p>\n<p>\u201cCouche-Tard has already acknowledged that its fuel and energy business faces material risks from the ongoing transition \u2014 including regulatory changes, shifting market demand, evolving technologies and changing consumption patterns \u2014 but management isn\u2019t telling shareholders how it intends to manage these risks,\u201d said Couturier-Tanoh.<\/p>\n<blockquote><p>\u201cIdentifying and assessing these challenges are important first steps. (TSX:ADT) tenue cette semaine, les investisseurs du g\u00e9ant qu\u00e9b\u00e9cois du carburant et du d\u00e9tail ont fortement appuy\u00e9 une proposition d\u2019actionnaire enjoignant la Soci\u00e9t\u00e9 de divulguer une strat\u00e9gie claire et compl\u00e8te de r\u00e9duction de ses \u00e9missions.<\/p>\n<p>D\u00e9pos\u00e9e par University Pension Plan (UPP) avec l\u2019appui de SHARE (l\u2019Association des actionnaires pour la recherche et l\u2019\u00e9ducation), partenaire de longue date d\u2019UPP en ce qui concerne le dialogue actionnarial aupr\u00e8s des soci\u00e9t\u00e9s de son portefeuille, la proposition a obtenu le plus haut niveau d\u2019appui des investisseurs pour une proposition li\u00e9e au climat chez Couche-Tard au cours des sept derni\u00e8res ann\u00e9es : 17,08 % (22,13 % aupr\u00e8s des actionnaires ind\u00e9pendants).<\/p>\n<p>Ce d\u00e9p\u00f4t fait suite \u00e0 un dialogue soutenu avec Couche-Tard sur les risques climatiques et la qualit\u00e9 de l\u2019information fournie. La proposition demande \u00e0 l\u2019entreprise de divulguer des cibles de moyen terme couvrant les \u00e9missions de gaz \u00e0 effet de serre (GES) importantes des Scope 1 et 2 \u2014 soit les \u00e9missions que l\u2019entreprise contr\u00f4le directement ou qui r\u00e9sultent de sa consommation d\u2019\u00e9nergie. Elle demande \u00e9galement \u00e0 Couche-Tard de pr\u00e9ciser son approche \u00e0 l\u2019\u00e9gard du Scope 3, qui proviennent de l\u2019amont et de l\u2019aval de sa cha\u00eene de valeur.<\/p>\n<p>Prenant la parole \u00e0 l\u2019AGA de mercredi, Delaney Greig, directrice de l\u2019intendance des investisseurs chez UPP, a soulign\u00e9 les progr\u00e8s r\u00e9alis\u00e9s par la Soci\u00e9t\u00e9.<\/p>\n<blockquote><p>\u00ab Pour demeurer concurrentielle, attirer des capitaux internationaux et g\u00e9rer les risques de transition qui touchent son mod\u00e8le d\u2019affaires, en particulier en tant que d\u00e9taillant de carburant, Couche-Tard a besoin d\u2019une strat\u00e9gie de transition coh\u00e9rente, incluant des cibles d\u2019\u00e9missions align\u00e9es sur des m\u00e9thodologies reconnues internationalement. \u00bb<\/p><\/blockquote>\n<p>Plusieurs des pairs identifi\u00e9 par Couche-Tard, notamment Empire, Metro et Costco, ont d\u00e9j\u00e0 adopt\u00e9 de telles strat\u00e9gies et cibles.<\/p>\n<p>Sarah Couturier-Tanoh, directrice de l&#8217;engagement actionnarial chez SHARE, a ajout\u00e9 que, bien que l\u2019entreprise mesure son Scope 3 depuis deux ans, elle n\u2019a pas divulgu\u00e9 de strat\u00e9gie pour le r\u00e9duire.
